Welcome to www.niveshkaro.com ("NiveshKaro Platform"), operated by NiveshKaro, a zero-commission intermediary platform connecting users with independent, certified local financial advisors in India. These Terms and Conditions ("Agreement" or "Terms") govern your access to and use of the NiveshKaro website, its subdomains, mobile applications, and all related services (collectively, the "Platform").

By accessing or using the Platform, you agree to be bound by these Terms, our Privacy Policy, Disclaimer, Take Down Policy, and Advisory for Investors (collectively, the "Policies"). If you do not agree to these Terms or Policies, you must not access or use the Platform.

1. Acceptance of Terms

By accessing or using the NiveshKaro Platform, you confirm that you have read, understood, and agree to be bound by these Terms and all Policies, including any future modifications. You must review these Terms periodically, as updates are effective upon posting on the Platform. Continued use after changes constitutes acceptance. These Terms apply to all users, including visitors, registered users, and Advisors.

2. Definition of Service

NiveshKaro is a free, zero-commission intermediary platform that facilitates connections between users seeking financial products or services (e.g., life/health/motor insurance, mutual funds, tax filing, government schemes like PPF/SSY) and independent, certified local financial advisors, consultants, or agents ("Advisors"). The Platform provides general, non-binding educational content (e.g., summaries of insurance plans, investment options, tax basics) sourced from public domains or third-party providers. NiveshKaro is not an insurance company, broker, aggregator, investment advisor, stock broker, tax consultant, or agent under regulations such as the Insurance Regulatory and Development Authority of India (IRDAI), Securities and Exchange Board of India (SEBI), or the Income Tax Act. We do not solicit, recommend, endorse, sell financial products/services, process refunds, or handle claim settlements, and act solely as a neutral conduit for user-Advisor connections, exercising due diligence under Section 79 of the IT Act.

3. Eligibility
  • Be at least 18 years old.
  • Be a resident of India.
  • Have legal capacity to enter contracts under the Indian Contract Act, 1872.
  • Not be barred from using services under applicable laws.
  • Not have been suspended or removed from the Platform for any reason. Users may not maintain multiple active accounts or transfer accounts to others.
4. User Responsibilities

You agree to:

  • • Provide accurate, complete, and current information in all forms, queries, or submissions.
  • • Verify the credentials, licenses (e.g., IRDAI/SEBI registration), and suitability of Advisors before engaging in any transaction or service.
  • • Make payments only through official, regulated payment channels of financial institutions (e.g., insurer or AMC portals); do not pay cash or transfer funds directly to Advisors.
  • • Comply with all applicable laws, including Know Your Customer (KYC) and Anti-Money Laundering (AML) regulations under the Prevention of Money Laundering Act, 2002
  • • Refrain from unlawful activities, including spamming, hacking, submitting false data, or harassing Advisors or other users.
  • • Be solely responsible for all transactions, agreements, disputes, refunds, or claims with Advisors or third-party providers.
5. Advisor Independence

Advisors are independent professionals, not employees, agents, partners, or affiliates of NiveshKaro. While NiveshKaro verifies basic credentials (e.g., licensing status) for listing, it does not monitor, control, or guarantee the quality, accuracy, or legality of Advisors' actions, advice, or services. Users bear full responsibility for verifying Advisor qualifications and for any outcomes of their engagements, including refunds and claims. NiveshKaro disclaims all liability for Advisor conduct, misadvice, financial losses, or disputes.

6. Scope of Services

The Platform provides:

  • Advisor Matching: Connects users with local Advisors based on geographic proximity and financial needs, with no guarantee of availability or successful connections.
  • Educational Content: General, non-binding information on financial products/services (e.g., insurance policies, mutual funds, tax filing basics, government schemes) for awareness purposes only.
  • Query Submission Tools: Forms to submit requests for Advisor connections or product inquiries; NiveshKaro may assist with form completion but does not underwrite, approve, process applications, issue refunds, or handle claims.
  • Support Services: Limited or No assistance with inquiries, refunds, or claims, subject to operational constraints and our response timeline. NiveshKaro does not guarantee product availability, pricing, outcomes, refunds, or claim settlements, as these are determined by Advisors or third-party providers (e.g., insurers, AMCs).
7. No Financial Advice

All content on the Platform is for general informational purposes only and does not constitute personalized financial, investment, tax, or legal advice. Content is sourced from public domains or third-party providers and may not be current, complete, or accurate. Users must conduct independent due diligence, consult licensed professionals, and verify product terms before making decisions. NiveshKaro disclaims all liability for losses or damages resulting from reliance on Platform content.

8. Zero Fees and Commissions

NiveshKaro charges no platform fees, subscription fees, or commissions to users. Advisors earn compensation directly from third-party providers (e.g., insurers, mutual fund companies), ensuring unbiased recommendations without cost to users.

9. Intellectual Property

All content on the Platform (e.g., text, images, logos, videos, databases) is owned by NiveshKaro or licensed providers and protected under the Copyright Act, 1957, and other intellectual property laws. You may use content for personal, non-commercial purposes only, retaining all copyright and proprietary notices. Unauthorized reproduction, distribution, modification, or commercial use is strictly prohibited without prior written permission from NiveshKaro or the respective copyright holder. All trademarks, service marks, trade names, and logos are property of NiveshKaro or third parties; reproduction without consent is prohibited.

10. Third-Party Links

The Platform may include links to external websites (e.g., insurer portals, Advisor profiles, government sites). These are provided for convenience only; NiveshKaro does not review, control, endorse, or verify the accuracy of their content, privacy practices, or services. Use of third-party links is at your own risk, and NiveshKaro disclaims all liability for any losses or damages arising therefrom. Third-party sites have separate terms and policies, which you must review.

11. Data Protection and Privacy

NiveshKaro collects, processes, and stores personal data (e.g., name, contact details, financial preferences) in compliance with the DPDP Act, IT Act, and IT Rules 2021, as outlined in our Privacy Policy. By using the Platform, you consent to such processing, subject to your rights (e.g., access, correction, erasure). We implement reasonable security measures (e.g., encryption, access controls) but disclaim liability for data breaches not due to our gross negligence.

12. Refund Policy

If you are dissatisfied with the services or products provided by an Advisor, insurance company, investment company, or other third-party provider connected through the Platform, you must:

  • Contact the Provider Directly: Refunds are processed solely by the third-party provider in accordance with their refund policies.
  • Follow Provider Procedures: Comply with the refund requirements of the provider, including documentation or timelines.
  • Optional Assistance from NiveshKaro: NiveshKaro may, at its discretion, assist in forwarding your refund request. Contact us at support@niveshkaro.com with transaction details and documentation.

NiveshKaro has no liability for refunds and will not issue refunds for matters beyond our direct control. In no event shall NiveshKaro Parties be liable for damages arising out of any delay in refunds.

13. Claim Settlement

Claim settlement is the sole responsibility of the respective insurance or investment company, regulated by authorities such as IRDAI, SEBI, or RBI. All claim-related matters, including submission, processing, approval, or rejection, are handled directly between you and the third-party provider. NiveshKaro is not responsible for claim outcomes, whether approved, declined, or delayed, and shall not be liable to any party involved. While we may, at our discretion, assist in forwarding your claim query to the relevant provider, we do not guarantee resolution or intervention. To request assistance, contact us at support@niveshkaro.com with details of the claim and provider. NiveshKaro reserves the right to respond within 21 working days, extendable to 180 working days at our discretion.

14. Limitation of Liability

To the fullest extent permitted by law, NiveshKaro Parties shall not be liable for any direct, indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, data, goodwill, or financial losses, arising from or related to: (i) use of the Platform; (ii) interactions with Advisors; (iii) reliance on Platform content; (iv) service interruptions; (v) unauthorized access to your data; (vi) delays or refusals in refund processing; or (vii) claim settlement outcomes. The Platform is provided "AS IS" without warranties of any kind, including merchantability, fitness for a particular purpose, or non-infringement. Total liability, if any, is capped at INR 1,000 (Rupees One Thousand Only). As an intermediary under Section 79 of the IT Act, NiveshKaro is not liable for third-party content or actions unless it has actual knowledge of illegality and fails to act expeditiously within stipulated timelines.

15. Indemnification

You agree to indemnify, defend, and hold harmless NiveshKaro Parties from any claims, losses, damages, liabilities, fines, penalties, or costs (including reasonable attorney fees) arising from: (i) your breach of these Terms; (ii) violation of any applicable law, including DPDP Act or IT Act; (iii) interactions or transactions with Advisors; (iv) misuse of the Platform; (v) refund or claim disputes; or (vi) infringement of third-party rights, including intellectual property or privacy rights.

16. Service Interruptions

NiveshKaro Parties are not liable for delays or interruptions in service due to force majeure events, including but not limited to server failures, cyberattacks, power outages, natural disasters, strikes, pandemics, riots, war, or government/regulatory actions. No compensation, refunds, or remedies are provided for such interruptions, and NiveshKaro is not obligated to ensure uninterrupted access.

17. User Equipment and Connectivity

You are responsible for all equipment, internet connections, and software necessary to access the Platform. NiveshKaro is not liable for any damages arising from your equipment, connectivity issues, or security breaches.

18. Termination of Access

NiveshKaro may suspend or terminate your access without notice for breach of Terms, suspected fraud, violation of third-party rights, regulatory requirements, or operational reasons. You may discontinue use anytime without notice.

19. Governing Law and Jurisdiction

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Thane, Maharashtra.

20. Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms, the Platform, or Advisor interactions shall first be resolved through mutual consultation within 30 days. If unresolved, the dispute shall be referred to arbitration under the Arbitration and Conciliation Act, 1996 (as amended up to 2024). A sole arbitrator, mutually appointed by the parties, shall conduct proceedings in English in Thane, Maharashtra. The arbitrator’s award is final and binding. Each party shall bear its own arbitration costs, unless otherwise awarded by the arbitrator.

21. Modifications to Terms

NiveshKaro reserves the right to modify these Terms with changes effective upon posting. Continued use after updates constitutes acceptance of the revised Terms.

22. Force Majeure

NiveshKaro is excused from obligations due to events beyond reasonable control, including natural disasters, pandemics, wars, cyberattacks, or government actions.

23. Severability

If any provision of these Terms is found invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it enforceable.

24. No Waiver

Failure or delay by NiveshKaro to enforce any right, provision, or remedy under these Terms does not constitute a waiver of that or any other right, provision, or remedy.

25. Entire Agreement

These Terms, together with the Policies (Privacy Policy, Disclaimer, Take Down Policy, and Advisory for Investors), constitute the entire agreement between you and NiveshKaro regarding the use of the Platform, superseding all prior or contemporaneous agreements, communications, or understandings, whether oral or written.

26. No Agency or Partnership

Your use of the Platform does not create any agency, partnership, joint venture, employment, or other relationship between you and NiveshKaro or any Advisors. Advisors operate independently, and no such relationship exists between NiveshKaro and Advisors.

27. Intermediary Safe Harbour

As an intermediary under Section 79 of the IT Act, NiveshKaro complies with due diligence requirements under IT Rules 2021, including content moderation, support redressal, and expeditious takedown of unlawful content upon actual knowledge. NiveshKaro is not liable for third-party content, actions, or omissions unless it fails to act within the timelines prescribed by law.

28. Electronic Communications

By using the Platform or communicating with NiveshKaro (e.g., via email, forms, or chat), you consent to receive communications electronically. We may communicate via email, Platform notifications, or other usual means. All electronic communications from NiveshKaro satisfy any legal requirement for written communication. NiveshKaro reserves the right to provide an initial response to any emails or inquiries within 21 working days, extendable to 180 working days at our sole discretion, and you agree to wait for the response within this timeframe.

29. Password-Protected Areas and Account Security

Access to password-protected or secure areas of the Platform is restricted to authorized users only. You are responsible for maintaining the confidentiality of your account credentials (e.g., username, password) and for all activities under your account. Notify NiveshKaro immediately of any unauthorized access or breach at team@niveshkaro.com. Unauthorized attempts to access secure areas may result in legal action, including prosecution under the IT Act.
